In these Terms & Conditions, the following terms have the meanings set out below:

By using this website or engaging any of our Services, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, please do not use this website or engage our Services.

You represent that you are at least 18 years of age and have the legal capacity to enter into this Agreement. If you are acting on behalf of another person (for example, an elderly parent or relative), you represent that you have authority to do so.

3. Nature of Services

3.1 Educational and Clerical Scope Only

All Services provided by Quietude are educational, informational, and clerical in nature. No Service constitutes or should be interpreted as legal advice, financial advice, investment advice, or advice on entitlements under any Malaysian government scheme or fund.

Quietude does not act as an agent of any institution. We do not correspond with government bodies, financial institutions, or other organisations on your behalf. We do not make submissions or representations in your name to any body.

3.2 Services Offered

Services are available to individuals and families in Malaysia. We may decline to offer a Service where it would fall outside the clerical and educational scope described in our materials.

4. Booking and Engagement

Services are initiated by submitting an enquiry through our website or by contacting us directly by telephone. A written scope description is shared and agreed before any Service engagement begins. No work is carried out outside the agreed scope without a revised written agreement.

6. Intellectual Property

All content on this website — including text, programme materials, workbooks, glossaries, and index templates — is owned by or licensed to Quietude and is protected under applicable Malaysian intellectual property law.

Materials provided to you as part of a Service engagement (workbooks, checklists, index sheets, gap summaries) are licensed for your personal use only. They may not be reproduced, distributed, or sold without our written permission.

7. Payment Terms

7.1 Pricing

Fees for each Service are as stated on this website and in the written scope document provided before engagement begins. All prices are in Malaysian Ringgit (RM) and include any applicable taxes unless otherwise stated.

7.2 Payment

Payment details are provided on confirmation of booking. Payment is due before the first appointment of any Service, unless otherwise agreed in writing.

7.3 Cancellation and Rescheduling

If you need to cancel or reschedule an appointment, please notify us at least 48 hours in advance by telephone or email. Cancellations with less than 48 hours' notice may result in forfeiture of that session's fee. We will make reasonable efforts to accommodate rescheduling requests.

If Quietude needs to cancel an appointment, we will provide as much notice as possible and reschedule at no additional charge.

7.4 Refund Policy

Fees for sessions or programme portions already delivered are non-refundable. If a programme cannot be completed due to circumstances on our side, any undelivered portion will be refunded on a pro-rata basis.

8. Disclaimers

Quietude's Services are provided on an "as is" basis. We make no representations or warranties, express or implied, regarding the completeness or accuracy of any information provided in sessions or materials, beyond what is described in the agreed scope.

We do not warrant that any particular outcome will result from the use of our Services. Specifically:

9. Limitation of Liability

To the extent permitted by Malaysian law, Quietude's liability to you in connection with any Service is limited to the total fees paid for that specific Service engagement.

We are not liable for any indirect, consequential, special, or punitive damages arising from your use of our Services, including but not limited to any decisions made in reliance on our sessions or materials.

Nothing in these terms limits liability for fraud, death, or personal injury caused by our negligence.

10. Indemnification

You agree to indemnify and hold harmless Quietude and its staff from any claims, losses, or expenses (including reasonable legal costs) arising from your breach of these Terms or from any misuse of our Services or materials.

11. Termination

Either party may terminate a service engagement by giving written notice. If you terminate a programme engagement after sessions have been delivered, fees for delivered sessions are non-refundable. If Quietude terminates an engagement for reasons other than client breach, any undelivered proportion of fees paid will be refunded.

Sections 6, 8, 9, 10, and 13 of these Terms survive termination of any engagement.

12. Confidentiality

Any documents, records, or personal information shared with us during a service engagement will be treated as confidential. We will not disclose this information to any third party except as described in our Privacy Policy or as required by Malaysian law.

13. Dispute Resolution and Governing Law

These Terms are governed by and interpreted in accordance with the laws of Malaysia.

If a dispute arises, both parties agree to attempt to resolve it informally in the first instance by contacting us at [email protected]. We will endeavour to respond within 10 working days.

If informal resolution fails, disputes will be subject to the jurisdiction of the courts of Malaysia, with the courts of Kuala Lumpur as the primary venue.

We may update these Terms from time to time. The revised Terms will be published on this page with an updated "Last Updated" date. Continued use of our website or Services after a change constitutes acceptance of the updated Terms. We encourage you to review this page periodically.
